The Akontec Contract Stack

Updated 2026-08-06 · Akontec Synergy Private Limited

What we sign, with whom, in what order, and who may sign it.

Signing authority

Only Hemalatha S., Director, signs on behalf of Akontec. Account Managers may issue proposals and quotations; they may not execute agreements. A document without the Director's signature and, where applicable, the company seal is not binding on Akontec.

The company seal is a round blue seal applied at PDF generation time to executed documents.

Client-side documents

#DocumentWhenPurpose
1NDA (mutual)Before detailed discoveryProtects both parties before commercials are discussed
2ProposalAfter discoveryScope, approach, indicative commercials. Not binding
3Master Services Agreement (MSA)Before the first engagementThe legal frame: liability, IP, confidentiality, termination, governing law. Signed once, reused
4Statement of Work (SOW)Per engagementScope, deliverables, SLA, seats, pricing, timeline, acceptance criteria. This is the operative document
5Data Processing Agreement (DPA)Where personal data is processedProcessing scope, sub-processors, security, breach notification, deletion
6Information Security BaselineEnterprise/regulated clientsAkontec's security controls, shared as evidence
7Technology BaselineWhere systems integrateEnvironments, access, integration points, support model
8Change RequestOn any scope changeAmends the SOW. Work does not start on a verbal change

Combined MSAs are used where one client group has multiple entities or programmes, so a single agreement covers all of them with separate SOWs beneath it.

Employment and contractor documents

Offer letter → Appointment letter → Confidentiality and IP assignment → Code of conduct acknowledgement → Asset issue form. Contractors sign a Services Agreement with IP assignment and confidentiality.

Rules that prevent disputes

  1. No work before signature. Not "we'll paper it next week." The SOW is signed, then the seats are booked.
  2. No verbal scope changes. A Change Request or nothing.
  3. The SOW carries the numbers. The MSA carries the law. Never put pricing in the MSA.
  4. Every SOW states the acceptance mechanism. Silence for 7 working days is deemed acceptance unless the SOW says otherwise.
  5. Every staffed SOW states the notice period and ramp-down treatment. This is the single most common dispute in BPO.
  6. The client's client is never contacted directly by a provider. Only through Akontec's defined process.
