Terms and Conditions

Updated 2026-08-06 · Akontec Synergy Private Limited

Effective: [[POLICY_EFFECTIVE_DATE]] · Version: 1.0 Applies to: use of akontec.com, projects.akontec.com and Akontec platforms, and to services where no separate signed agreement exists.

Draft for Akontec's publication; have counsel review before going live. Where a signed MSA or SOW exists, that agreement prevails over these terms.

1. Agreement

By using our websites or platforms, or by engaging our services, you agree to these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

2. What we provide

Akontec provides BPO project outsourcing and delivery management, AI engineering, software and SaaS platforms, digital marketing, and consultancy services. The precise scope of any engagement is defined in a Statement of Work executed under a Master Services Agreement. Website content is informational and does not constitute an offer.

3. Order of precedence

  1. Signed Statement of Work
  2. Signed Master Services Agreement
  3. Data Processing Agreement, where applicable
  4. These Terms
  5. Any quotation or proposal

4. Your obligations as a client

Delays caused by pending client inputs move the timeline by at least the length of the delay.

5. Deliverables, review and acceptance

Unless a SOW says otherwise, deliverables are deemed accepted if no written objection is received within seven (7) working days of submission. Revision rounds included in the fee are stated in the SOW; further rounds are chargeable.

6. Fees, invoicing and taxes

7. Intellectual property

8. Confidentiality

Each party will protect the other's confidential information, use it only for the engagement, and disclose it only to personnel and approved subcontractors who need it and are under equivalent obligations. Obligations survive termination for three years, and indefinitely for trade secrets and personal data.

9. Data protection

Where we process personal data on your behalf, we do so under a Data Processing Agreement and act on your documented instructions. See 02_Privacy_Policy.md and 24_Compliance/02_Data_Protection_Policy.md.

10. Service levels

Service levels, if any, are those stated in the SOW and measured as defined there. Service credits, where offered, are the sole remedy for a missed service level. Time excluded from measurement includes scheduled maintenance, client-caused delay, third-party outages outside our control, and force majeure.

11. What we do not promise

We do not guarantee specific business outcomes — sales volumes, conversion rates, revenue, search rankings, funding, or approval by any authority. Where estimates or projections are given, they are good-faith estimates based on the information available and are not commitments. See 27_Guardrails/02_Allowed_Promises.md.

12. Suspension and termination

13. Liability

To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or data. Akontec's total aggregate liability is limited to the fees paid by the client under the relevant SOW in the three months preceding the event giving rise to the claim. Nothing limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.

14. Indemnity

Each party indemnifies the other against third-party claims arising from its own breach of confidentiality, infringement of IP it supplied, or unlawful instruction.

15. Force majeure

Neither party is liable for failure caused by events beyond reasonable control, including natural disaster, war, civil disturbance, epidemic, government action, and failure of public telecom or power infrastructure. Sustained force majeure beyond 60 days entitles either party to terminate the affected SOW.

16. Non-solicitation

During the engagement and for twelve months after, neither party will directly solicit for employment personnel of the other who were materially involved in the engagement, except through a general public advertisement.

17. Platform use rules

You will not attempt to access another tenant's workspace, reverse-engineer our platforms, scrape at volume, upload malicious code, or use the platform to send unlawful communications. We may suspend access immediately for any of these.

18. Governing law and disputes

These terms are governed by [[GOVERNING_LAW]]. The parties will attempt good-faith resolution within 30 days; failing that, disputes are referred to arbitration seated at [[ARBITRATION_SEAT]] under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, in English. Courts at [[JURISDICTION_CITY]] have exclusive jurisdiction for interim relief.

19. Changes

We may update these terms; the version in force at the time of your engagement applies to it. Continued use of our websites after an update indicates acceptance for website use.
